3. Service Fees and Payment:
Service fees are outlined in the proposal or contract provided by Medical Designs & Marketing. Payment terms, including due dates and accepted payment methods, will be specified in the agreement. Failure to make timely payments may result in the suspension of services.
4. Intellectual Property:
All intellectual property rights, including but not limited to website designs, graphics, and marketing materials, created by Medical Designs & Marketing shall remain the property of Medical Designs & Marketing until full payment is received. Upon full payment, the client will have the right to use the deliverables for their business.
5. Confidentiality:
Both Medical Designs & Marketing and the client agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship.
6. Termination of Services:
Either party may terminate the services with written notice if the other party breaches any material term of the agreement. Upon termination, the client is responsible for any outstanding payments for services rendered.
7. Limitation of Liability:
Medical Designs & Marketing will not be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use the services.
8. Force Majeure:
Medical Designs & Marketing shall not be liable for any delay or failure to perform its obligations under this agreement due to circumstances beyond its reasonable control.
9. Governing Law:
This agreement shall be governed by and construed in accordance with the laws of United States of America.
10. Modifications to Terms:
Medical Designs & Marketing reserves the right to modify these terms and conditions at any time. Changes will be effective upon posting on our website.
